1. Scope and Acceptance
These Subscription & Billing Terms govern subscriptions purchased by business Customers for SkyView Pro. They supplement the Terms of Service and are incorporated into them. By adding a payment method, clicking an affirmative subscription button, paying an invoice, or renewing, Customer agrees to these Billing Terms.
2. Plans and Active Aircraft Limits
SkyView Pro offers tiered plans identified on its pricing page or order form. Plans may be differentiated by the number of active, non-archived aircraft and other stated usage limits. SkyView Pro may enforce plan limits through the Service, but temporary technical exceptions do not waive the applicable limit.
Plan changes are handled by contacting SkyView Pro. An upgrade may take effect immediately and may be prorated if disclosed and approved before the change. A downgrade ordinarily takes effect at the next renewal. No credit is provided for unused time unless required by law or expressly agreed.
3. Thirty-Day Trial
New Customers may receive a 30-day trial without providing a payment method at signup. No charge occurs during the trial. If Customer adds a valid payment method and affirmatively consents to the paid recurring subscription through the payment-method enrollment flow, the subscription will convert to a paid recurring subscription at the end of the trial unless cancelled before then. If no payment method is added and no recurring subscription is authorized, the trial ends and access may terminate without charge.
4. Clear Automatic-Renewal Disclosure and Consent
BEFORE CUSTOMER ADDS A PAYMENT METHOD AND AUTHORIZES A PAID SUBSCRIPTION, SKYVIEW PRO WILL CLEARLY PRESENT THE SELECTED PLAN, PRICE, BILLING INTERVAL, FIRST CHARGE DATE, AUTOMATIC-RENEWAL TERMS, AND CANCELLATION METHOD.
By checking the separate, unchecked consent box and submitting the payment-method enrollment form, or by taking another clearly identified affirmative action to authorize paid service, Customer authorizes SkyView Pro and Stripe to store the payment method and charge the then-current subscription fee, applicable taxes, and authorized adjustments on the first charge date and each monthly or annual renewal date until cancellation. The material recurring-billing terms will be displayed immediately adjacent to the consent control. Pre-checked boxes, inactivity, or the mere creation of a trial account will not constitute consent.
5. Fees, Invoices, and Taxes
Fees are billed in advance and are based on the price displayed at enrollment or in an order form. Published prices may be incorporated by reference, but the exact plan, price, interval, and renewal date must be captured in the acceptance record and confirmation email.
Fees exclude sales, use, value-added, and similar transaction taxes. Customer is responsible for applicable taxes, except taxes on SkyView Pro's net income. SkyView Pro may collect taxes where it determines collection is required. Customer should obtain tax advice regarding its own obligations.
6. Annual Plans and Renewal Notices
Annual plans renew for successive one-year periods unless cancelled. SkyView Pro will send a renewal reminder between 15 and 45 days before an annual renewal, stating the renewal date, amount or method for determining it, and a direct cancellation method. Monthly subscriptions may receive receipts and account notices but are not promised a pre-renewal reminder unless required by applicable law.
If an annual renewal price will increase, SkyView Pro will provide at least 30 days' advance notice, or any longer period required by applicable law.
7. Trial and Transaction Confirmations
For a Customer that authorizes a paid recurring subscription with at least three days remaining in the trial, SkyView Pro will send a reminder at least three days before the trial converts to paid service. If the Customer authorizes the paid recurring subscription fewer than three days before the scheduled conversion date, SkyView Pro will send the reminder promptly after authorization and before the first charge. The reminder will state the applicable plan, amount, billing interval, first charge date, automatic-renewal terms, and cancellation method.
SkyView Pro will also send an electronic confirmation when the paid subscription begins, after each charge, and after cancellation. Confirmations will include the plan, amount, billing interval, renewal date, and cancellation method.
8. Cancellation and Refunds
Customer may cancel online through account settings or by emailing support@skyviewpro.app. Cancellation will be at least as easy as enrollment and will stop future renewals. Unless required by law, cancellation takes effect at the end of the current paid billing period and fees are non-refundable and not prorated. SkyView Pro will send cancellation confirmation.
If SkyView Pro materially fails to provide the paid Service and does not cure after reasonable notice, SkyView Pro may provide a credit or refund as the exclusive billing remedy, subject to the Terms of Service.
9. Failed Payments, Suspension, and Collection
If a charge fails or an account becomes past due, SkyView Pro may retry the charge, notify Customer, restrict paid features, suspend access, or terminate the subscription. No specific grace period is guaranteed unless stated in an order form or notice. Customer remains responsible for accrued amounts and reasonable collection costs to the extent permitted by law. No contractual interest or late fee is imposed unless separately disclosed and agreed.
10. Price and Plan Changes
SkyView Pro may change prices or plan structures prospectively. It will provide at least 30 days' advance notice of a price increase before the renewal at which it applies. Customer may cancel before the increase takes effect. SkyView Pro will obtain renewed affirmative acceptance for a material change to renewal or cancellation terms where required by law or reasonably necessary to establish assent.
11. Data Following Cancellation
After cancellation, Customer may contact SkyView Pro during a 30-day period to request a manually prepared export using available CSV, PDF, or other reasonable tools. SkyView Pro does not promise a self-service export.
After the export period, SkyView Pro may de-identify or delete Customer Data and will use commercially reasonable efforts to complete targeted deletion from active systems and off-site backups within 90 days after cancellation or a verified deletion request. Legal holds and required retention override deletion. Billing and tax records may be retained for up to seven years, and security or audit logs for up to one year or longer when needed for an investigation or legal claim.
12. Stripe Subscription Processing
Subscription payments are processed by Stripe. Customer authorizes SkyView Pro and Stripe to process charges and acknowledges that Stripe's terms and privacy practices apply. SkyView Pro does not receive or store complete card numbers. Customer must maintain accurate billing information and promptly report unauthorized charges.
13. Stripe Connect and Customer Transactions
Customer may connect a Stripe account to accept payments from its students, aircraft renters, or other customers. The applicable Stripe configuration must designate Customer as the merchant of record for those transactions. Customer is the provider and seller of the underlying flight instruction, rental, membership, or other services and is solely responsible for pricing, fulfillment, receipts, refunds, disputes, chargebacks, reversals, payment-processing fees, negative balances, taxes, customer support, and compliance with Stripe and payment-network rules.
SkyView Pro supplies technical connectivity and does not receive an application or platform fee from these transactions unless separately disclosed in writing. SkyView Pro is not a party to the underlying transaction, does not guarantee payment or collectability, and does not act as a bank, escrow agent, trustee, or money transmitter.
If Stripe or another payment provider debits, withholds, recovers, reserves, or otherwise charges SkyView Pro for any refund, dispute, chargeback, reversal, fee, negative balance, penalty, or other amount arising from transactions processed through Customer’s connected account, Customer will promptly reimburse SkyView Pro upon demand for the full amount, together with any related fees, costs, and reasonable expenses incurred by SkyView Pro. SkyView Pro may offset any amount Customer owes under this Section against amounts SkyView Pro otherwise owes Customer, to the extent permitted by law. Customer’s obligations under this Section survive cancellation or termination of the Service.
14. Electronic Records
Customer consents to electronic invoices, receipts, notices, and acceptance records. SkyView Pro may retain document versions and evidence of assent, including date, time, account, user, IP or device information, selected plan and price, and the affirmative action taken. Customer is responsible for retaining copies made available at enrollment.
15. Order of Precedence
A signed order form controls over these Billing Terms for the specific commercial terms it expressly changes. These Billing Terms control over the general Terms of Service for subscription, renewal, cancellation, and billing issues. The Terms of Service otherwise control.
