SKYVIEW PRO TERMS OF SERVICE

1. Agreement and Contracting Parties

These Terms of Service ("Terms") form a binding agreement between SKYVIEW PRO LLC, a Florida limited liability company ("SkyView Pro," "we," "us," or "our"), and the flight school, flying club, or other business entity that subscribes to the Service (the "Customer"). The Customer may authorize administrators, instructors, students, renters, and other personnel to use the Service ("Authorized Users").

By clicking an acceptance box, creating a Customer account, purchasing or renewing a subscription, or accessing or using the Service, the Customer agrees to these Terms. The individual accepting these Terms represents that the individual has authority to bind the Customer. These Terms incorporate the Privacy Policy, Subscription & Billing Terms, and any order form or plan details presented at enrollment.

2. Eligibility and Authorized Users

The Service is offered for business use by flight schools, flying clubs, and similar organizations. A person must be at least 18 years old to establish a Customer account or accept these Terms. Customer may permit minors and other individuals to use the Service only through accounts created or managed by Customer and subject to Customer's supervision, permissions, and legal obligations.

Customer is responsible for all Authorized Users, account roles, permissions, and activity occurring within its Customer account, except to the extent caused directly by SkyView Pro's breach of these Terms.

3. Service and License

SkyView Pro provides a multi-tenant software platform supporting scheduling, flight and ground activity records, billing, payment facilitation, training and syllabus tracking, compliance-document tracking, maintenance tracking, notifications, and related workflows (the "Service"). Subject to these Terms and timely payment, SkyView Pro grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for Customer's internal business operations during the subscription term.

SkyView Pro may improve, modify, replace, or discontinue features, provided that it will not materially reduce the core functionality of a paid plan during the then-current billing period except for security, legal, third-party-service, or emergency reasons.

4. Accounts, Security, and Administration

Customer must provide accurate account information, safeguard credentials, use reasonable administrative and technical security measures, and promptly disable access for persons who no longer require it. Customer must notify SkyView Pro at support@skyviewpro.app of suspected unauthorized access or security incidents involving its account.

Two-factor authentication may be made available and may be required for specified roles or risk conditions. Customer remains responsible for configuring roles and permissions appropriately and for maintaining its own internal access-control procedures.

5. Aviation, Safety, and Regulatory Disclaimer

THE SERVICE IS SOFTWARE AND WORKFLOW SUPPORT ONLY. SKYVIEW PRO IS NOT AN AIR CARRIER, OPERATOR, FLIGHT SCHOOL, TRAINING CENTER, FLYING CLUB, DISPATCHER, FLIGHT-FOLLOWING SERVICE, MAINTENANCE PROVIDER, CERTIFICATED REPAIR STATION, DESIGNATED EXAMINER, MEDICAL PROVIDER, OR REGULATORY AUTHORITY. SKYVIEW PRO DOES NOT PROVIDE FLIGHT INSTRUCTION, OPERATIONAL CONTROL, DISPATCH OR RELEASE AUTHORITY, AIRWORTHINESS DETERMINATIONS, MAINTENANCE APPROVALS OR SIGN-OFFS, PILOT OR STUDENT QUALIFICATION DETERMINATIONS, MEDICAL OR CURRENCY DETERMINATIONS, WEATHER OR PERFORMANCE GUIDANCE, LEGAL ADVICE, OR FAA OR OTHER REGULATORY INTERPRETATIONS OR CERTIFICATIONS.

All schedules, alerts, reminders, document-expiration indicators, maintenance indicators, compliance gates, training-progress displays, experience summaries, logbook data, readiness checks, and features that allow, block, or flag a booking are informational workflow aids only. They may be incomplete, inaccurate, delayed, unavailable, or based on data entered by Customer or third parties. They do not certify that an aircraft is airworthy, a person is qualified or current, a record satisfies regulatory requirements, or a flight is safe or lawful.

Customer and its qualified personnel must independently verify all operational, maintenance, training, airworthiness, currency, medical, recordkeeping, and go/no-go determinations using official records, applicable regulations, and professional judgment. Nothing in the Service supersedes the authority or responsibility of the pilot in command, maintenance personnel, instructors, Customer management, or any other person under applicable law, including 14 C.F.R. Section 91.3. Customer assumes sole responsibility for its aviation operations and for decisions made using or in connection with the Service.

6. Customer Data and Compliance Responsibilities

As between the parties, Customer owns all data submitted to or stored in Customer’s account within the Service by Customer or its Authorized Users (“Customer Data”). Customer grants SkyView Pro and its subprocessors a limited license to host, reproduce, process, transmit, display, secure, back up, and otherwise use Customer Data only as necessary to provide, support, secure, and improve the Service, comply with law, and enforce these Terms.

Customer is responsible for the accuracy, quality, legality, collection, and use of Customer Data; obtaining required notices and consents; responding to individuals whose data Customer controls; and maintaining independent copies of records Customer is legally required to retain. The Service is not Customer's exclusive or official regulatory system of record.

7. Acceptable Use

Customer will not, and will not permit any person to: use the Service unlawfully; violate another person's rights; upload malicious code; circumvent security or controls designed to separate one Customer’s account and data from those of other Customers; access another customer's data; interfere with performance; scrape or bulk-extract data except through authorized features; reverse engineer or derive source code except where law prohibits restriction; resell or sublicense the Service; use the Service to build, train, benchmark, or improve a competing product; or allow a direct competitor to access nonpublic portions of the Service without SkyView Pro's prior written consent.

SkyView Pro may investigate suspected violations and suspend affected access when reasonably necessary to protect the Service, other customers, or third parties.

8. Intellectual Property and Feedback

SkyView Pro and its licensors retain all rights in the Service, documentation, interfaces, designs, software, and improvements, excluding Customer Data. No implied license is granted. Customer grants SkyView Pro a perpetual, irrevocable, worldwide, royalty-free right to use feedback and suggestions without restriction, provided SkyView Pro does not identify Customer publicly without permission.

9. Confidentiality

Each party will protect the other party's nonpublic information that is marked confidential or reasonably should be understood as confidential, use it only to perform or exercise rights under these Terms, and disclose it only to personnel and service providers with a need to know and confidentiality duties. These duties do not apply to information lawfully public, previously known without restriction, independently developed, or rightfully obtained from another source. Required disclosures are permitted after notice where legally allowed.

10. Third-Party Services and Payment Facilitation

The Service may interoperate with third-party services, including Stripe, Supabase, QuickBooks, and other providers. Customer's use of a third-party service is also governed by that provider's terms, and SkyView Pro is not responsible for third-party acts, outages, changes, or data practices.

For payments by students, aircraft renters, members, or other end users processed through a Customer’s connected Stripe account, Customer is the seller and merchant of record to the extent established by the applicable Stripe Connect configuration. Customer, not SkyView Pro, is responsible for the underlying instruction or services, pricing, taxes, refunds, disputes, chargebacks, required receipts, customer support, and compliance with payment-network and Stripe requirements. SkyView Pro acts only as a technology provider that enables connectivity to Stripe and does not hold funds as a bank, escrow agent, trustee, or money transmitter.

11. Subscription and Billing

Fees, trials, automatic renewal, plan limits, cancellation, nonpayment, taxes, and data treatment following cancellation are governed by the Subscription & Billing Terms. If there is a conflict regarding billing, the Subscription & Billing Terms control. Customer authorizes electronic delivery of invoices, renewal notices, and other billing communications.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, REGULATORY COMPLIANCE, OR RESULTS. SKYVIEW PRO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ANY ALERT, GATE, INDICATOR, CALCULATION, RECORD, OR THIRD-PARTY INTEGRATION WILL BE ACCURATE, COMPLETE, CURRENT, OR AVAILABLE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKYVIEW PRO AND ITS OWNER, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA; BUSINESS INTERRUPTION; COST OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM FLIGHT OPERATIONS, PERSONAL INJURY, DEATH, PROPERTY DAMAGE, MAINTENANCE, TRAINING, AIRWORTHINESS, DISPATCH, OR REGULATORY DECISIONS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF SKYVIEW PRO AND THE RELATED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) FEES PAID BY CUSTOMER TO SKYVIEW PRO FOR THE SERVICE DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) US$500.

The exclusions and cap do not limit Customer's payment obligations or indemnification duties and do not apply to liability that cannot lawfully be excluded. The parties acknowledge that the allocation of risk and fees reflects these limitations.

14. Indemnification

Customer will defend, indemnify, and hold harmless SkyView Pro and its owner, officers, employees, contractors, and agents from third-party claims, investigations, liabilities, damages, judgments, penalties, losses, chargebacks, reversals, processor recoveries, negative balances, and reasonable attorneys’ fees arising from or relating to: Customer Data; Customer’s products, services, instruction, flight operations, maintenance, training, billing, refunds, disputes, chargebacks, payment transactions, taxes, or regulatory obligations; any amount assessed against or recovered from SkyView Pro by Stripe or another payment provider because of transactions processed through Customer’s connected account; any aviation incident or allegation involving Customer or an Authorized User; Customer’s use of or reliance on the Service; Customer’s violation of these Terms, law, or third-party rights; or acts or omissions of Authorized Users.

SkyView Pro will provide prompt notice and reasonable cooperation. Customer may control the defense, but may not settle a claim in a manner that admits fault by, imposes obligations on, or fails to fully release SkyView Pro without SkyView Pro's written consent.

15. Suspension, Termination, and Data Export

Customer may cancel under the Subscription & Billing Terms. SkyView Pro may suspend or limit access for nonpayment, security risk, legal requirement, material breach, misuse, or conduct that threatens the Service or another person. Except in emergencies or for nonpayment, SkyView Pro will use commercially reasonable efforts to provide notice and an opportunity to cure a remediable material breach.

After termination or cancellation, Customer may request a manual export during the applicable export period described in the Subscription & Billing Terms. Customer remains responsible for retaining legally required records. Sections concerning accrued fees, intellectual property, confidentiality, disclaimers, liability, indemnification, dispute resolution, and general provisions survive.

16. Governing Law; Venue; Claim Period

These Terms are governed by Florida law without regard to conflicts principles. The state courts located in Lake County, Florida, and the United States District Court serving Lake County have exclusive jurisdiction over disputes, and each party consents to personal jurisdiction and waives objections to venue. Either party may seek temporary or injunctive relief in any court of competent jurisdiction to protect intellectual property, confidential information, security, or data.

To the extent permitted by law, any claim must be commenced within one year after the claimant knew or reasonably should have known of the facts giving rise to the claim. EACH PARTY WAIVES TRIAL BY JURY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

17. Electronic Contracting and Changes

Customer consents to electronic contracting, signatures, notices, and records. SkyView Pro may retain records showing the date, time, account, user, IP address or device information, document version, and affirmative action associated with acceptance. Customer should retain copies of the documents presented at acceptance.

SkyView Pro may update these Terms. Material changes will be provided by email, in-app notice, or another reasonable electronic method before the effective date. Changes affecting price, renewal, or cancellation will follow the Subscription & Billing Terms. SkyView Pro may require renewed affirmative acceptance for material changes that materially increase Customer obligations, reduce committed functionality, or materially alter aviation-risk, dispute, privacy, or payment terms.

18. General; Contact

These Terms and incorporated documents are the entire agreement regarding the Service unless an order form or signed agreement expressly states otherwise. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder continues. Failure to enforce is not a waiver. Customer may not assign these Terms without consent; SkyView Pro may assign them in connection with a merger, financing, reorganization, sale of assets, or change of control. Neither party is liable for delay caused by events beyond reasonable control, except payment obligations.
